How to Build an AI Governance Framework for Your Organization

A practical guide to building an AI governance framework — policies, approval processes, risk classification, vendor standards, and the governance structure that scales with your AI adoption.

Why AI Governance Is Now Urgent

In 2023, most organizations were asking "should we use AI?" In 2026, the question has shifted to "how do we manage AI we're already using?" Employees are using AI tools individually and in teams, often without IT or legal awareness. The risks — data exposure, IP contamination, regulatory non-compliance, vendor lock-in — are real and growing.

An AI governance framework is not about blocking AI adoption. It's about creating the structures that allow AI to be adopted safely, systematically, and with organizational accountability. Done well, governance accelerates AI adoption by giving teams a clear path to approval rather than leaving them to navigate uncertainty alone.

Here's how to build one.

Step 1: Assess Your Current AI Landscape

Before you can govern AI, you need to know what AI is actually being used in your organization.

Run an AI inventory:

  • Survey department heads for tools their teams are using with AI features
  • Check your identity provider/SSO for AI-connected applications
  • Review corporate credit card charges for AI tool subscriptions
  • Ask IT about AI integrations with existing SaaS platforms (many productivity tools have AI features that weren't present at purchase)

Most organizations doing this for the first time are surprised by the breadth: AI is embedded in their project management, writing tools, email clients, and analytics platforms — often without explicit approval or awareness.

Document every AI tool or feature identified, along with: what data it accesses, whether it's used to make decisions or just recommendations, what the vendor's data handling policy is, and who in the organization is using it.

Step 2: Classify AI Use Cases by Risk Level

Not all AI use cases carry the same risk. A three-tier risk classification is practical and scalable:

Tier 1 — Low Risk: AI that assists individual productivity without processing sensitive data or making consequential decisions.

  • Examples: AI writing assistants, coding assistance, meeting transcription for non-sensitive calls, general research tools
  • Governance: Light touch — basic acceptable use policy, no specific approval required
  • Data requirement: No company confidential, customer, or regulated data may be input

Tier 2 — Moderate Risk: AI that accesses business data, assists in customer-facing workflows, or influences significant business decisions.

  • Examples: AI CRM features, AI customer service automation, AI-assisted financial reporting, AI-powered HR tools
  • Governance: Departmental approval, security review, DPA required, vendor assessment
  • Data requirement: Data classification review required; PII handling documented

Tier 3 — High Risk: AI that makes autonomous decisions, accesses highly sensitive data, or is used in regulated industries with compliance implications.

  • Examples: AI fraud detection in financial services, AI clinical decision support in healthcare, AI hiring screening, AI in credit underwriting
  • Governance: Executive sign-off, legal review, bias testing, regulatory compliance review, ongoing monitoring
  • Data requirement: Full data governance review, privacy impact assessment, retention policy

This classification drives proportionate governance — not everything goes through the same heavy process.

Step 3: Establish an AI Review Committee

Governance needs a home. An AI Review Committee (or AI Governance Team) provides centralized oversight without requiring every AI decision to go to the board.

Committee composition:

  • IT/Security representative (data handling, vendor security)
  • Legal/Compliance representative (regulatory requirements, IP, contract review)
  • Operations or Procurement (vendor assessment, cost governance)
  • Business unit representative (rotating, to maintain business perspective)
  • Optional: HR (employee use policies), Finance (cost oversight)

Committee responsibilities:

  • Reviewing and approving Tier 2 and Tier 3 AI use cases
  • Maintaining the AI tools inventory
  • Updating the governance framework as the landscape evolves
  • Handling escalations and exceptions
  • Communicating AI policies to the organization

The committee should meet monthly — weekly during periods of rapid adoption, quarterly once governance is mature. Decisions should be documented and accessible to relevant stakeholders.

Step 4: Build Your Acceptable Use Policy

The Acceptable Use Policy (AUP) is the document that most employees will actually read and reference. It should be clear, practical, and specific — not a general "be responsible" statement.

Key policy sections:

Permitted uses: What AI tools and use cases are approved and available to all employees. Include a list of pre-approved tools that have already passed your Tier 1 or Tier 2 review.

Prohibited uses:

  • Inputting customer PII into non-approved AI tools
  • Inputting confidential business information into consumer AI tools
  • Using AI-generated content in regulatory filings or legal documents without human review
  • Using AI to make employment decisions (hiring, performance, termination) without the Tier 3 review process
  • Misrepresenting AI-generated content as entirely human-created where disclosure is required

Data handling rules:

  • What data categories may be input to which tier of AI tools
  • Prohibition on sharing API keys or credentials between employees
  • Requirements for reviewing AI outputs before using them in consequential decisions

Disclosure requirements:

  • When to disclose AI use to clients or customers
  • When to disclose AI assistance in written work products

Reporting requirements:

  • How to report potential AI incidents (data leakage, unexpected outputs, vendor concerns)
  • How to request approval for a new AI tool or use case

Step 5: Create a Vendor Assessment Process

Every AI vendor that accesses company data needs to go through a vendor assessment proportionate to the data risk.

Minimum assessment for Tier 2 AI vendors:

  • SOC 2 Type II certification (request the actual report)
  • Data processing agreement (DPA) — your standard DPA, not the vendor's
  • Data retention and deletion policies
  • Sub-processor list (who else processes your data)
  • Breach notification timeline commitment (48-72 hours is standard)
  • Opt-out from training data use (most major vendors offer this for enterprise accounts)

Additional requirements for Tier 3 AI vendors:

  • AI-specific risk assessment (bias testing methodology, explainability, audit trails)
  • Regulatory compliance documentation (HIPAA BAA, financial services AI disclosure, etc.)
  • Model governance documentation
  • Incident history disclosure

Step 6: Build an AI Procurement Checklist

Every new AI tool request should flow through a lightweight checklist before the full committee review:

  1. What is the tool's primary function?
  2. What company data will be input to the tool?
  3. Does the vendor have a signed DPA or will they sign yours?
  4. What tier of risk does this use case fall into?
  5. Is there an existing approved tool that does the same thing?
  6. Who is the named owner/administrator for this tool?

This checklist can be a simple form submitted to IT or the AI Review Committee. Tools below a cost and risk threshold can be approved by the IT lead without full committee review.

Step 7: Establish Ongoing Monitoring

AI governance is not set-and-forget. The landscape evolves too quickly.

Quarterly reviews:

  • AI tools inventory update
  • New vendor releases and feature updates for approved tools
  • Regulatory updates relevant to your industry
  • Incident review and policy updates

Annual reviews:

  • Full policy update
  • Risk classification review (tools may move tiers as their capabilities expand)
  • Training requirements for new hires and refresher training for existing employees
  • Third-party AI governance audit if your size warrants it

Starting Simple

Many organizations let perfect be the enemy of good in AI governance. A simple framework that's actually followed is better than a comprehensive framework that lives in a document no one reads.

Start with:

  1. A one-page acceptable use policy
  2. A list of approved tools
  3. A simple request process for new tools
  4. A named person (even if not a full committee) responsible for approvals

Build from there. The goal is creating clarity and accountability — not creating bureaucracy.
